Buying a business

Financing for the company you plan to acquire.

Describe the deal once. PSG sends it to participating lenders that finance acquisitions, SBA 7(a) lenders among them, and their offers come back to your portal. You can apply before the buying entity exists.

  • No entity name or EIN needed to apply
  • Early talks and signed letters of intent both qualify
  • Applying is free

The business you're buying

These are the numbers a lender runs the deal on.

Seller's Discretionary Earnings. A lender sizes the loan off this number.

A recent ownership change is underwritten differently.

Real estate

Lenders generally want the lease term plus options to cover at least 10 years.

About you

The buyer is underwritten separately from the business. This part is about you. We already have your name and contact details.

SBA eligibility
U.S. citizen or lawful permanent resident?
Will you run the business full-time?

SBA 7(a) requires an owner-operator.

Your capacity

Cash and marketable securities, before the down payment.

Ownership
Do you have an entity set up for the purchase?

Not required to prequalify. Most buyers form the entity after the LOI, and the lender asks for it before closing.

Will anyone else own 20% or more?

Anyone at 20% or more personally guarantees the loan.

The target's tax returns and financials

Lenders underwrite the actual results of the business you are buying. These are the two documents they always ask for.

Attach what you have. Nothing here holds up your prequalification. You can add the rest later in your secure application.

Supporting documents

The CIM, the LOI, bank statements, equipment lists, licences and anything else you already have on the business you are buying. No limit on how many.

PDF, JPG, PNG, Excel or Word, up to 100 MB per file. Bank statements, a personal financial statement and a debt schedule come later in the secure application.

    Review and submit

Check the numbers. You can go back and change anything.

    Your application is in.

Your acquisition application has gone to participating lenders. Your secure portal is next: the rest of the application continues there, and lender responses arrive there as they come in.

    The deal in one file.

Purchase price, equity, seller note and the target company go into a single file for lenders that write SBA 7(a) and conventional acquisition loans.

    Sized on the deal terms

Lenders size an acquisition loan on the price, your equity and the cash flow of the target, so the application starts there.

    SBA and conventional together

Both kinds of offers come back to one place, where rate, term and required equity can be read side by side.

    Seller financing counted

Seller notes, standby debt and earnouts are part of the capital structure from the first review.

From LOI to the closing table.

Your portal shows the status of the file and every request a lender makes.

    Built around how deals close.

Each step follows the path from letter of intent to funding, with diligence running alongside it.

    Your equity, measured

Each offer states the down payment it needs, so you can see how far your cash goes.

    Financing next to diligence

An early read on what lenders will fund lets underwriting move while you finish diligence.
